Licence agreement (on-premise)
In short
- What you get. The right to use Fast-CRM on your own servers, within the number of users and the term written in the licence key.
- Updates. All new versions and support until the updates date in the key (updates_until).
- Data. Both the servers and the data are yours. You are the only operator of the data. We cannot access it; we access it for support only if you allow it.
- If the term ends. The system does not shut down; it switches to read-only mode: sign-in, viewing and export work. Everything is restored as soon as a new key is installed.
- Not allowed. Reselling the software, giving it to others or reverse-engineering it.
- Liability. Limited to what you paid in the last 12 months. Uzbek law applies.
This is a summary. The full, legally binding text is below. If they differ, the full text prevails.
This English text is a translation for convenience. If it differs from the Uzbek text, the Uzbek text prevails (clause 13.4).
This Licence agreement (the "Agreement") is concluded between [company name] (the "Licensor", that is, the holder of the rights to the software) and the person who installs Fast-CRM on its own servers (the "Customer"). It covers the on-premise edition of Fast-CRM (the edition installed on the customer's own servers). The Fast-CRM Cloud service is governed by the Public offer.
1. Definitions
1.1. Licensor — [company name], the holder of the exclusive rights to the Software (property rights that amount to owning it) or a person entitled to grant them. Its details are in section 14.
1.2. Customer — the legal entity or individual entrepreneur that has concluded the Agreement.
1.3. Software — the on-premise edition of Fast-CRM: the server software, the web interface, updates and documentation.
1.4. Licence Key — a digitally signed file issued by the Licensor. It states the licence number, the Customer's name, the number of users and other limits, the licence term (or that the licence has no end date), the Updates Period, modules and domains.
1.5. Updates Period (updates_until) — a date in the key. Until that date the Customer gets the new versions released up to it, and support.
1.6. Read-only Mode — a state of the Software in which sign-in, viewing and exporting data work, but changes are not accepted.
1.7. Customer Data — all data entered into the Software or received through it.
2. Subject of the Agreement
2.1. The Licensor grants the Customer the right to use the Software. It is a simple (non-exclusive) licence: the Licensor may grant the same right to others.
2.2. The Customer uses the Software only for its own business, within the number of users, term, modules, domains and other limits in the key.
2.3. The exclusive rights to the Software remain with the Licensor. Only the rights written in this Agreement pass to the Customer.
2.4. The Customer may keep a backup copy of the Software for its own needs.
2.5. Open-source components in the Software are covered by their own licences. This Agreement does not limit the rights those licences give.
3. Concluding the Agreement
3.1. The Agreement is concluded when the Customer pays an invoice issued by the Licensor, or when the Parties sign it on paper or as an electronic document.
3.2. The Licence Key is issued after payment.
3.3. A person who concludes the Agreement on behalf of the Customer confirms that they are authorised to do so.
4. Licence Key and term
4.1. The licence term, the number of users and other limits are stated in the key. The key may be for a fixed term or with no end date.
4.2. The key is confidential. The Customer does not give it to others and does not change it. The Software does not start without a key or with a changed key.
4.3. To raise the limits (for example, the number of users), the Licensor issues a new key for an additional fee.
4.4. If online checking is enabled in the key, the Software sends the Licensor, at start-up and then once a day: the licence number, domain, server name, Software version and number of workspaces. The Licensor records the IP address the request comes from. Customer Data (CRM records, files, messages) is not sent.
4.5. For networks with no internet access (closed networks), the Licensor issues a key without online checking. If the key requires online checking and the Software cannot reach the Licensor for longer than the period written in the key, it switches to Read-only Mode (section 7).
5. Updates
5.1. Until the end of the Updates Period, the Customer receives and installs all new versions.
5.2. After this period ends, the Software keeps working within the licence term, but new versions are not provided. The Updates Period can be extended for a separate fee.
5.3. Updates are downloaded from the Licensor's update server (dist.fastcrm.uz). Only the licence number and a download token (an access key) are sent.
5.4. The Customer keeps its servers in line with the requirements in the Software's documentation. The Licensor does not have to fix errors in old, non-updated versions.
6. Customer Data
6.1. The Software runs on the Customer's servers. Customer Data is stored with the Customer and belongs to the Customer.
6.2. The Customer is the sole owner and operator of the personal data database (it decides why and how the data is used). The Customer is responsible for meeting the law: obtaining consent, registering the database where the law requires it, storing the data of citizens of Uzbekistan in Uzbekistan, and so on.
6.3. The Licensor cannot access Customer Data and does not process it. Access is possible only if the Customer allows it for support (for example, through a temporary account or screen sharing), to the extent and for the time the Customer sets. The Licensor then uses the data only to solve the problem, does not copy it and keeps it confidential.
6.4. Face recognition and face-based attendance are switched off in the cloud Service and work only in the on-premise edition. Biometric data (data based on a person's biological features, such as the face) stays on the Customer's servers. Consent and the legal requirements for processing it (ZRU-1125, to be verified) are the Customer's responsibility.
6.5. The Software includes backup tools. Setting them up, checking them and storing the backups are the Customer's responsibility.
7. When the licence term ends
7.1. If the licence term ends or the licence is terminated, the Software does not shut down. It switches to Read-only Mode: sign-in, viewing data, export and incoming webhooks (automatic messages from external systems) work; other changes are not accepted.
7.2. The Software also switches to Read-only Mode if it cannot check the key (for example, if the server clock is set back).
7.3. Customer Data stays with the Customer. The Licensor does not delete it or block access to it.
7.4. Full operation is restored as soon as a new key is installed.
8. Restrictions
8.1. Without the Licensor's written consent, the Customer does not:
- sell, rent out or sublicense (let others use) the Software or the key;
- provide services to others based on the Software (for example, offer it to its own customers as a cloud service);
- bypass the key's limits, change the key or forge it;
- decompile or reverse-engineer the Software (try to work out how it is built), except where the law expressly allows it;
- remove copyright notices from the Software.
9. Payment
9.1. The licence and updates fee is paid in soum by bank transfer, under an invoice issued by the Licensor.
9.2. The price depends on the key's parameters (number of users, term, modules) and is stated in the invoice.
9.3. Once the key has been issued, the fee is not refunded, except in cases provided by law.
10. Support
10.1. During the Updates Period the Licensor provides support at info@fastcrm.uz and [phone]: advice on installing and updating the Software, analysis of errors, and fixes delivered through updates.
10.2. Support is provided on business days during business hours (Tashkent time). The Licensor answers requests within a reasonable time. Specific response times (SLA) may be agreed separately.
10.3. Support does not cover: managing the Customer's servers, network, operating system and other software; Software changed by the Customer; old, non-updated versions.
10.4. If access to Customer Data is needed, the Licensor asks for permission under clause 6.3.
11. Warranty and liability
11.1. The Software is provided as it exists at the time of use. During the Updates Period the Licensor takes reasonable measures for the Software to work as described in the documentation, and fixes serious reproducible errors through updates.
11.2. The Licensor is not liable for indirect damages or lost profit (income that was not received).
11.3. The Licensor's total liability is limited to the amount the Customer actually paid under the Agreement in the 12 (twelve) months before the event giving rise to the claim.
11.4. The limits in clauses 11.2 and 11.3 do not apply where the law does not allow liability to be limited (including intentional breach).
11.5. The Licensor is not liable for: the Customer's servers and network; loss of data because the Customer did not make backups; the Customer's settings and the third-party services it connects.
12. Term and termination
12.1. The Agreement is in force for the licence term in the key or, for a key with no end date, until it is terminated.
12.2. The Customer may stop using the Software at any time. Fees paid are not refunded (clause 9.3).
12.3. If the Customer materially breaches section 8 and does not remedy it within 10 (ten) calendar days after notice, the Licensor may terminate the licence. The Software then also switches to Read-only Mode, and the Customer can export its data.
12.4. After the Agreement ends, the Customer may use the Software only to view and export its data. The data stays with the Customer.
13. Disputes and final provisions
13.1. The Agreement is governed by the law of the Republic of Uzbekistan.
13.2. The Parties first settle disputes by negotiation. A claim (pretenziya — a formal written demand sent to settle a dispute before going to court) is sent in writing, including by email. If a dispute is not settled within 30 (thirty) calendar days, it is heard by the competent economic court at the Licensor's location.
13.3. The Parties treat as legally significant messages sent to the email addresses stated in the Agreement.
13.4. The Agreement is published in Uzbek, Russian and English. If the texts differ, the Uzbek text prevails.
13.5. The Agreement applies from [date].
