In short

  • What you get. Fast-CRM Cloud is a CRM system that works over the internet. We take care of servers, updates and backups.
  • Trial. After you sign up, you work free of charge for 14 days.
  • Payment. You pay in advance under your Tariff, every month (or for the period on the invoice): by bank transfer, Payme or Click.
  • If you do not pay. Everything works as usual for 7 more days. Then the account switches to read-only mode: viewing and export work, editing is closed. The system is never switched off suddenly. Once you pay, everything is restored at once.
  • Your data is yours. We process it only to provide the Service, and we do not sell it.
  • Where it is stored. On Contabo GmbH servers in Germany (European Union). A backup is made every day.
  • How you leave. At any time. You download lists as CSV or Excel, and the whole workspace as one ZIP archive. After the Agreement ends, the data is deleted within 30 days; export works until then.
  • Liability. Our liability is limited to what you paid in the last 3 months (section 12).

This is a summary. The full, legally binding text is below. If they differ, the full text prevails.

This English text is a translation for convenience. If it differs from the Uzbek text, the Uzbek text prevails (clause 16.5).

This document is a public offer (a contract offer open to everyone). [company name] (the "Provider") makes it to any legal entity, individual entrepreneur or natural person for the use of the Fast-CRM Cloud service.

When a person accepts the offer in one of the ways in section 3 (the "Customer"), an agreement on these terms (the "Agreement") is concluded between the Customer and the Provider. Please read the text carefully before accepting it.

1. Definitions

1.1. Provider — [company name], which provides the service under the Fast-CRM brand. Its details are in section 17.

1.2. Customer — a legal entity, individual entrepreneur or natural person that has accepted the offer. The Provider and the Customer are together the "Parties" and each a "Party".

1.3. Service, Fast-CRM Cloud — the cloud CRM (customer relationship management) system that works over the internet, with its web interface and functions. The software runs on servers rented by the Provider.

1.4. Site — the website www.fastcrm.uz. Platform — the Service's web interface at fastcrm.uz.

1.5. Account — the Customer's workspace in the Service, which Users enter with their own login and password.

1.6. User — a natural person (an employee or other representative) to whom the Customer has given access to the Account.

1.7. Tariff — the functions, limits (for example, the number of Users) and price published on the Site or stated in an invoice.

1.8. Paid Period — the period for which the Customer pays in advance: one calendar month or another period stated in the invoice.

1.9. Trial — the period of free use under section 4.

1.10. Customer Data — any data that the Customer and its Users enter into the Service or that reaches the Service through connected channels. It includes personal data (data that relates to a specific person and makes it possible to identify them) about the Customer's clients and counterparties (contract partners).

1.11. Third-Party Services — external services that the Customer chooses to connect to the Service: Telegram, Instagram, WhatsApp and other messengers, SMS providers, email, payment systems (for example, Payme, Click), artificial intelligence (AI) model providers and others. The Customer connects them with its own accounts and keys.

1.12. Grace Period — 7 (seven) calendar days after the payment due date. During it the Service works as usual (clause 10.1).

1.13. Read-only Mode — a state of the Account in which data can be viewed and exported, but entering new data and editing are closed (clause 10.1).

1.14. Terms not defined in the offer are interpreted under the law of the Republic of Uzbekistan.

2. Subject of the Agreement

2.1. The Provider gives the Customer access to the Service over the internet within the chosen Tariff, and the Customer pays for it under the offer.

2.2. The Service is provided as it exists at the time of use. The Provider develops and updates the Service. During a Paid Period that has been paid for, the essential functions of the Tariff are not materially reduced.

2.3. The exclusive rights to the software (property rights that amount to owning it) belong to the Provider or its licensors (those who allowed the use of parts of the software). For the term of the Agreement the Customer receives the right to use the Service remotely within the Tariff. No copy of the software and no exclusive rights pass to the Customer.

2.4. The edition of Fast-CRM installed on the Customer's own servers (on-premise) is governed not by this offer but by the Licence agreement.

2.5. The Data processing annex (the "Annex") is an integral part of the offer. The Privacy policy and the Terms of use also apply to the use of the Service.

2.6. Face recognition and face-based attendance tracking are switched off in Fast-CRM Cloud. Biometric data (data based on a person's biological features, such as the face) must be stored in Uzbekistan (ZRU-1125, to be verified), while the Service's servers are in Germany. These functions are offered only in the on-premise edition, where the data stays on the Customer's own servers.

3. Acceptance

3.1. Any of the following is acceptance of the offer:

  • registering an Account on the Site or on the Platform;
  • the first sign-in to an Account opened at the Customer's request (for example, a trial workspace opened on a request made on the Site);
  • paying an invoice issued by the Provider.

3.2. Acceptance is equivalent to concluding the Agreement on the terms of the offer. It must be full and unconditional: the offer cannot be accepted in part or with your own conditions.

3.3. A person who accepts on behalf of a legal entity or an individual entrepreneur confirms that they are authorised to do so. The Customer is responsible for the accuracy of the details given at registration and payment.

3.4. At the Customer's request the Parties may also sign the Agreement on these terms on paper or as an electronic document.

4. Free trial

4.1. After registration the Customer may use the Service free of charge for 14 (fourteen) calendar days. The Provider may extend this period as part of promotions.

4.2. Functional limits set by the Provider may apply during the Trial. No fee is charged for the Trial.

4.3. Because the Trial is free, the Provider does not guarantee uninterrupted operation of the Service or any particular result during it.

4.4. To keep using the Service after the Trial, the Customer pays under the chosen Tariff. Without payment, sections 10 and 11 apply: first the Grace Period, then Read-only Mode.

4.5. The Provider may refuse to grant a repeated Trial to the same person.

5. Tariffs, prices and payment

5.1. The price and the content of the Tariff follow the tariff published on the Site or the invoice issued by the Provider. Prices are stated in soum. Taxes are shown in the invoice as required by tax law.

5.2. The fee is paid in advance for each Paid Period. Unless the invoice states another period, a Paid Period is one calendar month.

5.3. Payment methods:

  • bank transfer to the Provider's account on the basis of an invoice;
  • the Payme or Click payment systems.

5.4. The date of payment is the date the funds reach the Provider's account or the date the payment system confirms the payment. For a bank transfer the Customer states the invoice number in the payment reference.

5.5. The Provider may change Tariffs and prices. New prices are published on the Site, and the Provider notifies the Customer on the Platform or by email at least 10 (ten) calendar days in advance. A new price applies from the next Paid Period; a period already paid for is not recalculated.

5.6. At the Customer's request the Provider issues an act of services rendered for the Paid Period. If within 5 (five) business days of receiving the act the Customer neither signs it nor sends a reasoned objection, the services are deemed rendered in full and properly, and accepted.

5.7. The fee paid for the current Paid Period is not refunded, except where:

  • the Provider terminates the Agreement without the Customer's fault, including when it stops providing the Service (clause 10.5);
  • the Customer, disagreeing with a change to the offer or to prices, terminates the Agreement before the change takes effect (clause 14.3);
  • the Agreement is terminated because of force majeure (clause 13.3);
  • the Customer objects to a new sub-processor and terminates the Agreement under the Annex;
  • in other cases provided by law.

5.8. In the cases in clause 5.7 the Provider refunds the fee for the unused part of the Paid Period within 10 (ten) business days of receiving the Customer's written request. Overpaid or mistaken amounts are refunded on the Customer's written request or, with its consent, credited against future periods.

6. Provider's rights and obligations

6.1. The Provider shall:

  • after acceptance (and, once the Trial is over, after payment) give the Customer access to the Service within the Tariff;
  • take reasonable measures to keep the Service running and Customer Data secure;
  • keep Customer Data confidential and process it only under the offer and the Annex;
  • notify the Customer within 24 (twenty-four) hours of a security breach affecting Customer Data (clause 4.2 of the Annex);
  • where possible, announce planned maintenance in advance;
  • provide support by email at info@fastcrm.uz and by phone at [phone];
  • issue invoices and acts at the Customer's request.

6.2. The Provider may:

  • update the Service and change or extend its functions (subject to clause 2.2);
  • carry out planned and urgent maintenance;
  • limit access to the Service in the cases in section 10;
  • engage third parties to provide the Service, including the sub-processors listed in the Annex (other companies that the Provider engages and that process the data);
  • send the Customer service notices about the Service, the Agreement and security;
  • request from the Customer the information and documents needed to perform the Agreement.

7. Customer's rights and obligations

7.1. The Customer shall:

  • pay for the Service on time and in full;
  • give accurate details at registration and keep them up to date;
  • keep logins, passwords and other means of access secret, enable two-factor authentication (a password plus a one-time code from an authenticator app) where possible, and tell the Provider immediately about any unauthorised access;
  • make sure that Users comply with the offer and the Terms of use; the Customer is responsible for actions taken through its Account;
  • have a legal basis (where the law requires it, people's consent) to process the personal data it puts into the Service, and comply with the law on personal data, advertising and communications;
  • if it enters data about minors (persons under 18), for example students of a training centre, obtain the consent of their parent or other legal representative where the law requires it (clause 3.4 of the Annex);
  • not put biometric data for identifying people (for example, face templates for face recognition) into the Service (clause 2.6);
  • if it turns on the Fast AI assistant, choose the AI provider itself and be responsible for the lawful transfer of data to the provider's country and for informing data subjects; also ensure a legal basis for transferring data through other Third-Party Services (clauses 5.3 and 5.4 of the Annex);
  • not use the Service for unlawful purposes, for spam, or in a way that harms the Service or others;
  • comply with the terms of the Third-Party Services it connects.

7.2. The Customer may:

  • use the Service within the Tariff and add Users;
  • export its data with the Platform's tools at any time, including in Read-only Mode: each list as CSV or Excel (XLSX), and the whole workspace as one ZIP archive (done by the Account owner or an administrator); help with export can be requested at info@fastcrm.uz;
  • receive technical support;
  • terminate the Agreement under section 10.

8. Service level and support

8.1. The Provider makes reasonable efforts to keep the Service available 24 hours a day, but does not guarantee operation without interruptions or errors, or any specific uptime percentage.

8.2. Where possible, the Provider announces planned maintenance in advance on the Platform, on the Site or by email. Urgent work (for example, fixing a security vulnerability) may be done without prior notice.

8.3. In case of an unplanned outage the Provider takes reasonable measures to restore the Service as soon as possible.

8.4. Support is provided by email at info@fastcrm.uz and by phone at [phone]. The Provider answers requests within a reasonable time.

8.5. The Provider backs up the database every day. Backups are kept on the server for 7 (seven) days, and their encrypted copies are kept elsewhere (off-site) for up to 35 (thirty-five) days (section 5 of the Annex). Backups are meant for restoring the Service after a disaster and do not replace the Customer's own exports.

8.6. The Provider is not responsible for the internet and communication networks, the Customer's equipment and software, or Third-Party Services.

9. Customer Data and confidentiality

9.1. Customer Data belongs to the Customer. The Provider has only the rights to it that are needed to provide the Service. The Provider does not sell it or use it for its own purposes.

9.2. For personal data within Customer Data, the Customer is the owner and operator of the personal data database (it decides why and how the data is used). The Provider processes such data only on the Customer's instructions and as set out in the Annex.

9.3. Personal data of the Customer's representatives and Users (name, email, phone, login history and the like) is processed by the Provider under the Privacy policy.

9.4. Customer Data is stored on servers of Contabo GmbH in the Federal Republic of Germany. Encrypted off-site copies of the backups are stored with [off-site backup provider]. Transfer of data abroad is described in the Privacy policy and the Annex.

9.5. The Provider's staff use Customer Data only to the extent needed to provide support, carry out the Customer's request, keep the Service secure or comply with the law.

9.6. Each Party keeps confidential the other Party's non-public information learned through the Agreement. It may be disclosed only to employees and contractors who need it to perform the Agreement and are bound by confidentiality, or to authorised state bodies in the cases provided by law. This obligation continues for 3 (three) years after the Agreement ends.

10. Non-payment, restriction and termination

10.1. If the Trial or a paid Paid Period has ended and the next period has not been paid:

  • for 7 (seven) calendar days — the Grace Period — the Service works as usual and the Provider reminds the Customer to pay;
  • when the Grace Period ends, the Account switches to Read-only Mode: all data can be viewed and exported, but entering new data and editing are closed;
  • the Provider does not switch off the Account or close access to the data for non-payment; Read-only Mode lasts until the data is deleted under section 11.

10.2. If payment is made at any time before the data is deleted, full access is restored at once and the Agreement continues.

10.3. The Provider may limit access to the Service if:

  • the Customer or its Users materially breach the offer or the Terms of use (spam, unlawful content, attacks on the Service and the like);
  • there is a threat to the security of the Service, other customers or third parties;
  • an authorised state body lawfully requires it.

The Provider limits only what is necessary (for example, sending messages or an integration) and, where possible, keeps data export available. If it does not harm security, the Provider gives notice in advance and a reasonable time to remedy the breach.

10.4. The Customer may terminate the Agreement at any time by sending a notice to info@fastcrm.uz from the Account owner's email address. The fee for the current Paid Period is not refunded except in the cases in clause 5.7.

10.5. The Provider may terminate the Agreement unilaterally:

  • if the Customer does not remedy a material breach within 10 (ten) calendar days after notice, or repeats it;
  • if no payment is made within 30 (thirty) calendar days after Read-only Mode starts — the Agreement then ends when that period ends;
  • if it stops providing the Service altogether — with at least 30 (thirty) calendar days' notice to the Customer; the fee for the unused part of the Paid Period is then refunded.

10.6. Termination does not release the Parties from obligations that arose before it, including payment, confidentiality and liability.

11. Data export and deletion

11.1. After the Agreement ends, Customer Data is deleted within 30 (thirty) calendar days. Until then the Account stays open in Read-only Mode.

11.2. Until deletion, the Customer may download its data in the ways in clause 7.2. If the Customer has no access, the Provider prepares a full export on a request sent to info@fastcrm.uz and does not delete the data until it has provided the export.

11.3. On deletion, Customer Data is irreversibly removed from the working database. Deleted data disappears from the backups on the server within 7 (seven) days and from the off-site backups within 35 (thirty-five) days.

11.4. Data the Provider must keep by law (for example, accounting and tax documents) is kept for the period the law sets.

11.5. Deleted data cannot be restored. The Customer is advised to export its data before terminating the Agreement.

12. Liability

12.1. The Parties are liable for non-performance or improper performance of the Agreement under the law of the Republic of Uzbekistan and the offer.

12.2. The Provider is not liable for indirect damages or lost profit (income that was not received).

12.3. The Provider's total liability under the Agreement is limited to the amount the Customer actually paid in the 3 (three) months before the event giving rise to the claim.

12.4. The limits in clauses 12.2 and 12.3 do not apply where the law does not allow liability to be limited (including intentional breach).

12.5. The Provider is not liable for:

  • the content, lawfulness and accuracy of Customer Data;
  • actions of others who gained access because the Customer did not keep its means of access secret;
  • the operation of Third-Party Services (messengers, SMS providers, payment systems, AI providers and others), changes to their terms or their discontinuation, or the accuracy of answers given by AI models;
  • consequences of force majeure (irresistible force).

12.6. If third parties bring claims against the Provider, or state bodies fine the Provider, because the Customer broke the law on personal data, advertising or communications, or because of the content of Customer Data, the Customer compensates the Provider for the resulting losses.

13. Force majeure

13.1. The Parties are released from liability if an obligation is not performed because of irresistible force (force majeure). For example: natural disasters, fires, hostilities, epidemics, acts of state bodies, large-scale failures of power and communication networks, and failures of data centres or backbone networks beyond the Parties' control.

13.2. A Party affected by force majeure notifies the other Party as soon as possible and takes reasonable measures to reduce its consequences.

13.3. If force majeure lasts more than 2 (two) months, either Party may terminate the Agreement by written notice. The fee for the unused part of the Paid Period is then refunded to the Customer.

14. Changes to the offer

14.1. The Provider may change the offer and its annexes. A new version is published on the Site with its effective date.

14.2. Changes that make the Customer's position worse take effect no earlier than 10 (ten) calendar days after publication on the Site; the Provider also notifies the Customer on the Platform or by email. Changes required by law or by the need to keep the Service secure may take effect earlier.

14.3. A Customer who disagrees with a change may terminate the Agreement before the change takes effect; the fee for the unused part of the Paid Period is then refunded. Continuing to use the Service after a change takes effect means acceptance of it.

14.4. Earlier versions of the offer are provided at the Customer's request.

15. Disputes and governing law

15.1. The Agreement is governed by the law of the Republic of Uzbekistan.

15.2. The Parties first try to settle disputes by negotiation. A claim (pretenziya — a formal written demand sent to settle a dispute before going to court) is sent in writing, including by email.

15.3. If a dispute is not settled within 30 (thirty) calendar days of sending the claim, disputes with legal entities and individual entrepreneurs are heard by the competent economic court at the Provider's location.

15.4. Natural persons who are consumers keep the rights the law gives them, including under consumer protection law, among them the right to choose where to go to court. Nothing in the offer limits those rights.

16. Term and final provisions

16.1. The offer takes effect on [date] and remains valid until the Provider withdraws it.

16.2. The Agreement takes effect on acceptance of the offer and remains in force until terminated under section 10.

16.3. If any provision of the offer is found invalid, the remaining provisions stay valid.

16.4. The Parties treat as legally significant messages sent to the email addresses given in the Account and notices on the Platform. Written messages to the Provider are sent to info@fastcrm.uz or to [legal address].

16.5. The offer is published in Uzbek, Russian and English. If the texts differ, the Uzbek text prevails.
